Please read these Terms of Services ("Terms") carefully before using the Boursia AI website, mobile applications, and services (collectively, the "Platform") operated by Boursia AI ("Company," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all the terms and conditions of this agreement, then you may not access the Platform or use any services.

• "Platform": The Boursia AI website, mobile applications, and all associated services, features, and content.
• "Services": The features, functionalities, and tools offered by the Company through the Platform, including but not limited to AI-driven investment analysis, portfolio tracking, market data, and educational resources.
• "User" / "You": Any individual or entity accessing or using the Platform.
• "User Data": Any data or information that you provide to the Platform, including personal information, financial details, and investment preferences.

4. User Accounts

To access certain features of the Platform, you may be required to register for an Account. You agree to:

• Maintain and promptly update your Account information to keep it accurate, current, and complete.
• Be solely responsible for all activities that occur under your Account.

4.2. Account Security

You are responsible for safeguarding your password and any other credentials used to access your Account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your password, whether or not you have authorized such activities or actions. You must notify us immediately of any unauthorized use of your Account or any other breach of security.

4.3. Account Suspension and Termination

We reserve the right to suspend or terminate your Account at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

5. Use of the Platform

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

• In any way that violates any applicable national, federal, state, local, or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm the Company or users of the Platform or expose them to liability.

5.2. Prohibited Use

You agree not to:

• Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Platform.
• Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
• Use any manual process to monitor or copy any of the material on the Platform or for any other unauthorized purpose without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Platform.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.
• Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Platform.

6. AI-Driven Investment Tools & Disclaimers

6.1. Nature of AI Tools

The AI Tools provided on the Platform are sophisticated algorithms designed to process data, identify patterns, and generate insights based on historical data and predefined models. They are intended as supplementary tools to aid your research and decision-making. This includes the identification and presentation of AI-curated investment packs, which are based on the AI's analytical models. Additionally, the Platform may offer expert-curated investment packs, which are developed by financial professionals based on their expertise and market analysis. Neither AI-curated nor expert-curated packs constitute personalized investment advice.

6.2. No Guarantee of Performance

While our AI Tools and expert-designed strategies are built using advanced models and historical data, we do not guarantee any specific investment results or performance outcomes. Past performance—actual or simulated—does not ensure future returns. Market conditions can change rapidly and unpredictably, and both human expertise and AI-driven models have inherent limitations. Users should be aware that all investments carry risk, including the potential loss of capital.

6.3. Data Dependence

The effectiveness and accuracy of the AI Tools are highly dependent on the quality, completeness, and timeliness of the data fed into them. We strive to use reliable data sources, but we do not guarantee the accuracy, completeness, or timeliness of any data used by or presented through the AI Tools.

6.4. Algorithm Limitations

AI algorithms can have inherent biases, limitations, and may not account for all unforeseen market events or unique individual circumstances. They are not substitutes for human judgment, critical thinking, or professional financial advice.

6.5. User Responsibility

You acknowledge that your reliance on any insights or recommendations generated by the AI Tools, including the composition and performance of AI-curated or expert-curated investment packs, is at your own risk. You are solely responsible for conducting your own due diligence, research, and for making your own independent investment decisions.

7. Investment Risks

Investing in financial markets involves significant risks, including the potential loss of principal. You should be aware of and understand the following risks:

• Market Risk: The value of investments can fluctuate due to general market conditions, economic factors, and other events.
• Liquidity Risk: Some investments may be difficult to buy or sell quickly without significantly impacting their price.
• Credit Risk: The risk that an issuer of a debt instrument may default on its obligations.

8.3. Automatic Renewal

If you subscribe to a recurring service, your subscription will automatically renew at the end of each billing period unless you cancel it prior to the renewal date. You authorize us to charge the applicable fees to your designated payment method upon renewal.

8.4. Refunds

All fees are generally non-refundable, except as expressly stated otherwise on the Platform or as required by applicable law.

9. Intellectual Property

9.1. Company Content

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Company, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9.2. Trademarks

The Company name, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company.

9.3. User-Generated Content

If the Platform allows you to submit, post, or display content ("User Content"), you retain ownership of any intellectual property rights that you hold in that User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content in connection with the operation of the Platform and the provision of Services.

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and disclose your personal information. 12. Disclaimers of Warranties

THE PLATFORM AND ALL SERVICES, CONTENT, AND AI TOOLS PROVIDED ON OR THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE RESULTS OF USING THE PLATFORM WILL MEET YOUR NEEDS OR EXPECTATIONS.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PLATFORM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE AMOUNT YOU PAID TO THE COMPANY FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS GREATER.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

15. Termination

We may terminate or suspend your Account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your Account, you may simply discontinue using the Platform or follow the Account termination instructions provided on the Platform.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Dispute Resolution

16.1. Governing Law

These Terms shall be governed and construed in accordance with the international laws , without regard to its conflict of law provisions.

16.2. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by [e.g., the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules] and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

17. Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.

18. Miscellaneous

18.1. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

18.2. Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18.3. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Boursia AI regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

18.4. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at our sole discretion.
